Terms of Service
Medna, LLC ("Medna," "we," "us," or "our")
These Terms of Service ("Terms") govern your access to and use of the Medna application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. Eligibility and accounts
The Service is intended for licensed mental-health professionals and the organizations that employ or contract with them, located in the United States. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your credentials. You must be at least 18 years old to use the Service.
2. Professional responsibility
Medna is a documentation aid. It does not provide medical advice, make clinical decisions, or replace your professional judgment. You are solely responsible for reviewing, correcting, and approving any documentation generated through the Service before it is relied upon, entered into a medical record, or submitted for billing. AI-generated content may contain errors and must be verified.
3. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or professional regulation.
- Enter real protected health information unless a Business Associate Agreement is in place covering your use (see Section 6).
- Attempt to access data belonging to other Customers, probe the Service's security, or interfere with its operation.
- Reverse engineer, resell, or sublicense the Service without our written consent.
4. Beta program
The Service may be offered to you as a beta. Beta features are provided "as is," may change or be discontinued, and may contain defects. During the beta you must use fictitious or fully de-identified data only unless a signed BAA covers your use. You acknowledge and accept these conditions by participating.
5. Your content
You retain all rights to the content you submit. You grant us a limited license to process that content solely to provide the Service to you. We do not use your clinical content to train third-party foundation models.
6. HIPAA and Business Associate Agreement
Where you use the Service to process PHI, our relationship is governed by a Business Associate Agreement. Until a BAA is executed, you must not submit real PHI. The terms of the BAA control over these Terms with respect to PHI.
7. Fees
Fees, if any, will be described at the time you subscribe. The beta program is provided free of charge unless otherwise stated.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Medna, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or as required by law. Sections that by their nature should survive termination will survive.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
